MCA has introduced a new form which replaces the existing SPICE Form which is known as SPICE+ Form. SPICe+ stands for Simplified Proforma for Incorporating Company electronically Plus.

SPICe+ would offer 10 services by 3 central government ministries & departments (Ministry of Corporate Affairs, Ministry of Labour & Ministry of Finance) and one State Government (Maharashtra).

Objective for introducing SPICe+:

i) aimed to further the ease of doing business in India and to revolutionize the way the companies are registered  in India.

ii) It is a single-window system for multiple services at one platform.

iii) It will be more helpful than existing and time saving mechanism.

Parts of SPICe+form:-

i) Part A for name reservation for new companies.

ii) Part B offering a bunch of services including incorporation, Director Identification Number (DIN) allotment, mandatory issue of Permanent Account N​umber (PAN), besides allotment of Goods and Service Tax Identification Number – GSTIN (if applied for).

Attachments Required for SPICe+ :-

  • Memorandum of Association
  • Articles of Association
  • Declaration by the first director(s) and subscriber(s) (Affidavit not required)
  • Proof of office address
  • Copy of utility bills
  • Copy of certificate of incorporation of foreign body corporate (if any)
  • A resolution passed by promoter company
  • The interest of first director(s) in other entities
  • Consent of Nominee (INC–3)
  • Proof of identity as well as the residential address of subscribers
  • Proof of identity as well as residential address of the nominee
  • Proof of identity and address of Applicant I, II, III
  • Resolution of unregistered companies in case of Chapter XXI (Part 1) Companies
  • Declaration in Form No. INC – 14
  • Declaration in Form No. INC – 15
  • Optional attachments (if any)
  • Attachments – Part A

Some Significant Changes Under SPICe+ :-

i) RUN service would be applicable only for ‘change of name’ of an existing company.

ii) A new and user friendly Dashboard on the Front Office is being created for company incorporation application (SPICe+ and linked forms as applicable).

iii) The new web form would Facilitate On-screen filing and real time data validation for seamless incorporation of companies.

iv) Information once entered can be saved and modified.

v) Pre-scrutiny checks and other validations happen in the web form, but DSC Validation will happen only at the upload stage.

vi) Declaration by the subscribers and the first directors in INC – 9 shall now be auto-generated in PDF format and submitted electronically.

vii) All digitally signed applications can be uploaded with the linked forms as per the existing norms

viii) The declaration also requires certification by a professional:
– Chartered Accountant
– Cost Accountant
– Company Secretary

ix) However, this is not required in the following cases:
– Where the total number of directors/subscribers is more than 20
– When any of the directors or subscribers do not possess a DIN or PAN

x)  All new companies incorporated through SPICe+ would also be mandatorily required to apply for opening the company’s Bank account through the AGILE-PRO linked web form.
