As per the Companies Act,2013, only natural persons can be directors. As a company is an artificial legal person that is created by law, the company can act only through the agency of natural persons. Prior to appointment, the directorial candidates need to obtain a DIN (Director’s identification number).
There is no requirement of any academic qualification to appoint a person as director.
There is no upper age limit for appointing a person as director. However, a minor cannot be appointed as director. In case of listed company, director shall not be less than 21 years of age.
There is nothing in the Companies Act, 2013 that prohibits the appointment of any person who is a foreigner or NRI as a Director of a Company. However, Section 149(3) provides that every company shall have at least one Director who has stayed in India for a total period of not less than 182 days in the previous calendar year.
